Course Description

Beginning in 2024, domestic and foreign reporting companies will need to report information on their beneficial owners to the Financial Crimes Enforcement Network (FinCEN) under the Corporate Transparency Act (CTA) unless they qualify for an exemption. Applicable due dates will depend on the company formation/registration date. In this informative presentation, Melanie Lauridsen, AICPA Vice President of the Tax Policy & Advocacy team in Washington, D.C. will review highlights/risks of the expanded mandatory BOI rules that went into effect on January 1, 2024, and discuss recent FinCEN guidance for preparers and beneficial owners including reference materials. This course is intended for those who already have a basic understanding of the FinCen BOI reporting rules.

Learning Objectives:

  • Identify who is mandated to file under the FinCEN BOI reporting rules and their respective deadlines

  • Determine the exemptions available under the Corporate Transparency Act

  • Recognize the criteria for substantial control, company applicants, and ownership interest in the context of BOI reporting

  • List where the disclosed information is stored and the parties it will be shared with

  • Recall the compliance and enforcement framework concerning the expanded BOI rules, including recent guidance issued by FinCEN
